Terms of Service

1. Services
Extreme Ondine LLC (“Ondine AI”, “we”, “us”) provides delivery platform management services for restaurants and food businesses, including but not limited to:
- Management of DoorDash, Uber Eats, and Grubhub accounts on your behalf
- AI-powered menu engineering and optimization
- Campaign and promotion management
- Virtual brand creation and deployment
- Review and reputation management
- Platform issue resolution and operational support
- SMS communications from your dedicated account manager and the Ondine AI platform, including onboarding updates, billing notifications, and platform alerts. Message and data rates may apply. Reply STOP to opt out at any time.
2. Client Responsibilities
By using our services, you agree to:
- Provide accurate and complete information during onboarding
- Grant us authorized access to your delivery platform accounts
- Ensure your platform credentials remain valid and notify us of any changes
- Pay all fees as agreed in your service agreement
- Comply with the terms of service of DoorDash, Uber Eats, Grubhub, and all applicable platforms
- Notify us promptly of any operational changes affecting your delivery business
3. Fees and Payment
Our services are billed at a flat monthly fee per platform as agreed at onboarding, plus a small weekly commission on delivery revenue. Fees are due on the agreed billing date. Late payments may result in service suspension. All fees are non-refundable except as required by law.
Platform advertising spend is funded separately by the client and managed by Ondine AI on your behalf. We do not mark up advertising spend.
4. No Revenue Guarantee
Ondine AI does not guarantee specific revenue outcomes, sales growth, or order volume increases. Delivery revenue depends on factors outside our control including food quality, pricing, market conditions, platform algorithms, and local competition. We guarantee expert management of your delivery presence. Growth, where it occurs, is a byproduct of professional management.
5. Platform Relationships
Ondine AI manages your accounts on third-party platforms (DoorDash, Uber Eats, Grubhub) on your behalf. We are not affiliated with, endorsed by, or officially partnered with any of these platforms. Your accounts remain your property at all times. Platform policies are subject to change without notice and may affect our ability to deliver certain services.
6. Intellectual Property
All proprietary tools, AI models, menu engineering pipelines, and methodologies developed by Ondine AI remain our exclusive intellectual property. Virtual brands created by Ondine AI for your kitchen are licensed to you for use during the active service period. Menu content, descriptions, and photography created by Ondine AI for your restaurant become your property upon full payment.
7. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the service relationship. We will not share your platform credentials, business data, or revenue information with third parties except as required to deliver our services or as required by law.
8. Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination, we will transfer all account access back to you, deliver all created assets, and cease all management activities. Outstanding fees remain due upon termination.
9. Limitation of Liability
To the maximum extent permitted by law, Ondine AI’s liability for any claim arising from our services is limited to the fees paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits or revenue.
10. Indemnification
You agree to indemnify and hold harmless Ondine AI from any claims, damages, or expenses arising from your breach of these terms, your use of delivery platforms, or any content you provide to us.
11. Governing Law
These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in California.
12. SMS Communications
Program Name: Ondine AI Account Management SMS
Program Description: Transactional SMS messages sent to existing Ondine AI restaurant clients including onboarding updates, account manager communications, billing notifications, and platform performance alerts.
Message Frequency: Varies based on account activity. You may receive up to 10 messages per month.
Message and Data Rates: Message and data rates may apply depending on your mobile carrier and plan.
Opt-Out: Reply STOP to any message to unsubscribe. HELP for assistance. Ondine AI will not share your mobile phone number or SMS consent with third parties for marketing purposes.
